User and Vendor Agreement
Terms of Service
Wedme User Agreement
This User Agreement (“Agreement”) is made effective as of [01.01.2022], by and between “Wedme”, with its principal place of business at [#301 Roots Tower, District Centre, New Delhi], and “User” registered on Wedme site.
- Purpose
The purpose of this Agreement is to set forth the terms and conditions under which the User will access and use the Wedme online marketplace to find and book wedding services.
- User Obligations
2.1 Account Creation: The User agrees to create an account on the Wedme platform and provide accurate, current, and complete information. The User is responsible for maintaining the confidentiality of their account information and for all activities that occur under their account.
2.2 Use of Services: The User agrees to use the Wedme platform solely for personal, non-commercial purposes related to wedding planning. The User will not use the platform for any illegal or unauthorized purposes.
2.3 Accuracy of Information: The User agrees to provide accurate information when making bookings or inquiries and to update their account information as necessary.
2.4 Compliance: The User agrees to comply with all applicable laws, regulations, and the terms of this Agreement while using the Wedme platform.
- Booking and Transactions
3.1 Booking Process: The User can book services through the Wedme platform. By confirming a booking, the User agrees to pay the agreed amount for the services as specified in the vendor’s listing.
3.2 Payment Terms: Payments for services will be processed through Wedme’s secure payment system. The User agrees to pay any fees associated with the transaction, including any applicable taxes.
3.3 Cancellation and Refunds: Cancellation policies and refund terms are determined by the individual vendors. The User agrees to review and comply with these policies before making a booking. Wedme is not responsible for refunds or cancellations except as provided by the vendor’s policies.
- Fees and Charges
4.1 Service Fees: Wedme may charge service fees or booking fees for using the platform. The User agrees to pay any such fees as disclosed at the time of booking.
4.2 Additional Charges: The User is responsible for any additional charges incurred during the use of the services, including but not limited to extra services or changes requested directly from the vendor.
- User Reviews and Feedback
5.1 Reviews: The User may leave reviews and feedback about the services provided by vendors on the Wedme platform. The User agrees to provide honest and accurate feedback and to comply with Wedme’s guidelines for reviews.
5.2 Content Moderation: Wedme reserves the right to review, moderate, or remove any content posted by the User, including reviews, if it violates the platform’s policies or is deemed inappropriate.
- Liability and Dispute Resolution
6.1 Liability: Wedme is a marketplace facilitator and is not liable for any issues arising from the services provided by vendors, including but not limited to, service quality, disputes, or damages. The User acknowledges that Wedme does not endorse or guarantee the services listed on the platform.
6.2 Indemnification: The User agrees to indemnify and hold harmless Wedme, its affiliates, and its employees from any claims, damages, or liabilities arising out of or related to the User’s use of the platform or any services obtained through the platform.
6.3 Dispute Resolution: Any disputes between the User and Wedme shall be resolved through binding arbitration in New Delhi, in accordance with the rules of the [Arbitration Act]. This Agreement shall be governed by the laws of New Delhi.
- Privacy and Data Protection
7.1 Privacy Policy: The User agrees to the terms of Wedme’s Privacy Policy, which outlines how personal information is collected, used, and protected.
7.2 Data Protection: The User agrees to comply with data protection laws and to respect the privacy of other users. The User will not use personal data obtained through the platform for any purpose other than that for which it was collected.
- Term and Termination
8.1 Term: This Agreement will commence on the effective date and continue until terminated by either party.
8.2 Termination for Convenience: Either party may terminate this Agreement for any reason with 15 days’ written notice.
8.3 Termination for Cause: Wedme may terminate this Agreement immediately if the User breaches any term of this Agreement or engages in conduct that harms the platform or other users.
- Miscellaneous
9.1 Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings, whether written or oral, related to the subject matter.
9.2 Amendments: Wedme may amend this Agreement from time to time. The User will be notified of any changes, and continued use of the platform constitutes acceptance of the amended terms.
9.3 Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
9.4 Assignment: The User may not assign or transfer any rights or obligations under this Agreement without the prior written consent of Wedme.
IN WITNESS WHEREOF, by using the Site or any Services, the User hereto has consented and executed this User Agreement as of the effective date.
Wedme Vendor Agreement
This Vendor Agreement (“Agreement”) is made effective as of [01.01.2022], by and between Innoventum Advisory. (“Wedme”), with its principal place of business at [#301 Roots Tower, District Centre, New Delhi], and [Venues Owners / Vendors ] (“Vendor”), with its principal place of business at [Vendor Address].
- Purpose
The purpose of this Agreement is to set forth the terms and conditions under which the Vendor will offer and provide wedding services on the Wedme online marketplace.
- Vendor Obligations
2.1 Service Listings: The Vendor agrees to list their services on the Wedme platform, including accurate descriptions, pricing, availability, and any other relevant information. All listings must comply with Wedme’s guidelines and standards.
2.2 Quality and Compliance: The Vendor shall ensure that all services provided meet industry standards and comply with applicable laws and regulations. The Vendor is responsible for obtaining and maintaining any necessary licenses or permits.
2.3 Customer Service: The Vendor agrees to provide excellent customer service and respond to inquiries, bookings, and any issues promptly and professionally.
2.4 Content Accuracy: The Vendor is responsible for the accuracy and legality of all content, including photos, descriptions, and promotional materials, submitted to the Wedme platform.
- Fees and Payments
3.1 Commission Fees: Wedme will charge a commission fee of [Percentage]% on each transaction processed through the platform. The fee will be deducted from the payment made by the customer before disbursing the remaining amount to the Vendor.
3.2 Subscription Fees: Vendors may choose to subscribe to one of Wedme’s subscription plans. The fees and benefits associated with each plan are detailed on the Wedme platform and are subject to change.
3.3 Payment Processing: Payments for services booked through Wedme will be processed through Wedme’s payment system. The Vendor agrees to receive payments through this system and adhere to Wedme’s payment policies.
- Marketing and Promotion
4.1 Promotional Opportunities: Wedme may offer promotional opportunities, including sponsored listings and featured placements. The Vendor can opt to participate in these promotions at an additional cost.
4.2 Advertising: The Vendor agrees to allow Wedme to use their business name, logo, and images for marketing and advertising purposes in connection with the Wedme platform.
- Term and Termination
5.1 Term: This Agreement will commence on the effective date and continue until terminated by either party.
5.2 Termination for Convenience: Either party may terminate this Agreement for any reason with [Number] days’ written notice to the other party.
5.3 Termination for Cause: Wedme may terminate this Agreement immediately if the Vendor breaches any term of this Agreement or engages in any conduct that may harm the reputation of the Wedme platform.
- Liability and Indemnification
6.1 Liability: Wedme is not liable for any loss or damage resulting from the Vendor’s services, including but not limited to, service quality, customer disputes, or legal claims.
6.2 Indemnification: The Vendor agrees to indemnify and hold harmless Wedme and its affiliates from any claims, damages, or liabilities arising out of or related to the Vendor’s services or breach of this Agreement.
- Confidentiality
7.1 Confidential Information: Both parties agree to keep confidential any proprietary or sensitive information shared during the course of this Agreement, including customer data and business practices.
7.2 Data Protection: The Vendor agrees to comply with data protection laws and policies regarding the handling of personal information obtained through the Wedme platform.
- Dispute Resolution
8.1 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of New Delhi
8.2 Dispute Resolution: Any disputes arising under this Agreement shall be resolved through binding arbitration in New Delhi, in accordance with the rules of the Arbitration Act.

9.1 Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings, whether written or oral, related to the subject matter.
9.2 Amendments: Wedme may amend this Agreement from time to time. The Vendor will be notified of any changes, and continued use of the platform constitutes acceptance of the amended terms.
9.3 Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
9.4 Assignment: The Vendor may not assign or transfer any rights or obligations under this Agreement without the prior written consent of Wedme.
IN WITNESS WHEREOF, by Listing / Using the Marketplace the Vendor hereto has consented / executed this Vendor Agreement as of the effective date.
